Job Description:
The Director, Technology Transactions is a critical member of T-Mobile’s legal department, providing legal advice and support to a number of high-profile business units that acquire and manage customer-facing mobile products as well as the technology that enables T-Mobile’s innovative services. Working closely with leaders within the Legal Department, the Director, Technology Transactions will support a wide range of business units including; Corporate Strategy, Information Technology, Corporate Engineering, Device Procurement, Product Marketing/Development, Wholesale (MVNO) and Roaming.
The Director, Technology Transactions will lead and manage a small team, direct the work of outside counsel, and draft and negotiate a wide range of strategic, commercial and mobile technology focused agreements to support the strategic and operational goals of the organization.
The Director, Technology Transactions will operate as a partner and advisor to business leaders by leveraging subject matter expertise, providing sound, practical legal and business advice, and employing a creative approach to problem solving as well as actively participating in critical and complex deal drafting and negotiations.
Responsibilities
More specifically, this role will assume the following responsibilities:
Drafting and negotiating development agreements, hardware agreements, supply and services agreements (including outsourcing, software as a service and infrastructure as a service), software/ technology licenses and contracts with wireless product and services vendors and other technology partners.
Actively consult with and provide legal and business guidance to senior executives on various matters initiated in Corporate Strategy (Mergers & Acquisitions, Emerging Businesses & Un-carrier Initiatives), Information Technology, Corporate Engineering, Device Procurement (Handset), Product Development, Product Marketing, Wholesale (MVNO) Roaming and Interconnection/backhaul with a particular focus
Handle operational matters including dispute resolution on complex technology transactions and actively participate in settlement discussions
Successfully, lead, manage and mentor a small team as well as work closely with senior Legal department leadership on advancing and developing the legal team within the organization.
Qualifications
While the quality and accomplishments of a candidate’s career will be the determining factor, the finalist must have the following qualifications:
U.S. Law Degree, and an active member of the state bar in good standing.
At least ten years’ experience working in-house supporting the Media, Technology and/or Telecommunications industry and/or relevant law firm experience in such industries.
Substantial experience drafting and negotiating complex commercial transactions relating to IT, MVNO, Engineering, Corporate Strategy and/or Media.
Strong understanding of technology, digital commerce and intellectual property law.
Outstanding legal judgement, drafting, communication and negotiation skills.
Merger & Acquisition experience a plus.
Previous management experience required.
