Job Description:
As the Director of Capital Markets and Corporate Finance, you will be responsible for assisting with the development, implementation, and management of all of ADP's global corporate finance policies & projects and participating in the management of ADP's capital market activities including $2 billion of corporate bonds, $8.25 billion commercial paper program, $8.25 billion committed credit facility, other debt (Industrial Revenue Bonds, Letters of Credit etc.), $3.25 billion in committed reverse repurchase facilities, and credit rating agency relationship to maintain ADP's AA/Aa3 rating. You will also contribute to the development of corporate finance policies and projects at both Corporate and SBU levels.
RESPONSIBILITIES:
Assist with the development of corporate finance policies such as optimal capital structure, stock splits, etc.
Construct financial models to determine ADP's cost of capital; whether to lease or buy; the value of ADP; the amount of ADP's value-at--risk from movements in interest rates, or other risk parameters; etc.
Ensure access to capital markets for ADP's global liquidity (acquisitions, share repurchases, SBU working capital).
Develop empirical event studies to explain movements in ADP's stock price.
Provide input to ad hoc corporate finance inquiries from management.
Contribute in the development and implementation of shareholder distribution policies and strategies, including over $900 million in cash dividends and ~$600-$750 million in share repurchases.
Monitor and direct ADP's day to day share repurchase program and optimize program performance.
Draft quarterly share repurchase recommendation including 10b5-1 and 10b18 recommendations, equity issuance analysis, shares modeling, and accretion / dilution analysis.
Assist with the development of ADP's consolidated cash flow forecast and process (FY15 operating cash flow = $1.9 billion).
Assist the corporate accounting team with the corporate goodwill valuation as part of ADP's annual goodwill impairment testing process.
Participate in the development of Board of Directors' and senior management presentations on wide range of corporate finance topics.
Perform M&A due diligence for US and non-US acquisitions.
Assist with the management of ADP's relationships with both credit rating agencies, Moody's and Standard & Poor's through the development of rating agency decks and materials.
Participate in the management of ADP's capital market activities including - $2 billion in corporate bonds, $8.25 billion commercial paper program, $8.25 billion revolving credit facility, Board of Directors' debt authorizations, other debt (approximately $5 million in outstanding Industrial Revenue Bonds and ~$200 million in letter of credit), and $3.25 billion in committed reverse repurchase facilities.
Act as backup for all capital market activities including issuance of commercial paper.
Assist with Corporate Treasury's relationship with the Delaware Investment Center and Corporate Tax for funding of Employer Services' money movement activities and corporate working capital requirements.
QUALIFICATIONS REQUIRED:
MBA in Finance or CFA required
4-7+ years of corporate treasury or banking experience required.
