Generic Position Summary
As a member of the professional staff, contributes a high level of specialized knowledge and skill in a discipline (e.g. Accounting, Finance, Human Resources, Information Resources, Operations Planning & Support, Sales & Marketing) area to support department and/or function objectives. Generally works with considerable independence, developing operating plans and related operational processes for own department in alignment with broader business objectives.
Specific Job Summary (describe the nature and purpose of the position)
The Senior Director, Controls Compliance leads a center of excellence to assist MVW businesses, both within the United States and internationally, in developing, implementing, and sustaining an efficient and effective system of internal controls within all MVW business operations, technology, and information systems. Provides guidance to MVW Business Leaders on the application of existing policies and seizes opportunities to improve internal controls processes and techniques. Proactively analyses financial statements, back records, government databases and other sources to identify fraud or other instance of financial crime. Leads and performs investigations of alleged violation or non-compliance with laws, regulations and/or company policies.

• Reports to the Vice President and Chief Audit Executive
• Supervises the center of excellence team
• Manages/Coordinates the center of excellence compliance and consulting function
• Interfaces with all MVW functions and/or disciplines across the company and all levels of management

Specific Expected Contributions (including duties and responsibilities)
Takes a lead role in assisting MVW businesses to design, implement, and sustain holistic (i.e. cross-functional), efficient and effective internal controls processes. This includes but is not limited to:
Defines a common internal controls foundation to be used throughout MVW that provides discipline and structure (such as checklists and assessment/monitoring tools and techniques within a broad range of topics) and covers technical competence and ethical commitment;
Accumulates and provides relevant guidance to assist associates in fulfilling their responsibilities relating to internal controls and adhering to Company policies;
Encourages sound management practices such as by:
Obtains/ develops and issues "best practice" documents for key financial processes to provide departments with proven methodologies to consistently and effectively achieve a business objective;
Publishes a quarterly newsletter to provide departments with articles on good business practices, internal controls, and responsibilities.
Incorporates specific accountability into internal controls processes such that full legal and regulatory compliance is required and substantial compliance is not adequate
Researches and develops policies, standards, and procedures to promote sound and prudent fiscal management of the Company's resources. Also provides a basic framework for this information that promotes inclusion of impacted departments and assists with interpretation of existing policies and standards to support consistent application of policies and actions that align with management's directives.
Assists MVW businesses and related control and governance entities (such as the Information Resources (IR) Controls team, Legal and Ethical Steering Committee (LESC), Mortgage Management Accountability Committee (MMAC), Risk Management, Information Security and Privacy Committee (MVWP-82), etc.) in assessing and evaluating the adequacy of risks and controls, which includes but is not limited to:
Develops, implements, maintains, and administers monitoring tools, such as checklists to facilitate operational reviews, the quarterly SOX Control Self-Assessments and Attestations, and checklists/procedures in other broad areas, that help management to:
Verify and document their internal controls processes; and,
Evaluate the effectiveness and efficiency these processes;
Ensures results are elevated beyond the project team, day-to-day managers and others performing the evaluation;
Monitors the status of correcting / implementing controls to support MVW's SOX compliance and compliance in other broad areas such as but not limited to mortgage banking, project management, information security, and privacy;
Facilitates preparation for audits and maintaining a state of "audit readiness"; and
Advocates and promotes a strong Internal Control environment through training sessions at conferences/ regional meetings, periodic communications with impacted areas and general internal marketing of Internal Controls responsibilities.
Assesses or monitors compliance with the Company's policies and standards and with external laws and regulations, such as by:
Identifies all Company compliance responsibilities and activities, such as for the Payment Card Industry Report on Compliance, European Union (EU) Safe Harbor, Gramm-Leach-Bliley Act (GLBA), Health Insurance Portability and Accountability Act (HIPAA), Office of Foreign Assets Control (OFAC), Business Continuity Plan (MVWP-30), Enterprise Records Management (MVWP-15), fraud and money laundering, etc.;
Performs (or monitoring the status of MVW business) activities to measure compliance with the above;
Works with MVW businesses to facilitate the inclusion of compliance considerations into internal controls processes such as those for project timelines, project evaluations and governance committee submissions with the same degree of importance whether related to deal terms, closing dates, sale start dates, etc.; and,
Performs (or assisting MVW business) reviews of MVW vendors, contractors, licensees, and others as needed per contractual obligations or other requirements such as for certifications required by Company policies or external regulators
Reports to management on the state of internal controls processes, compliance with Company policies and standards and with external laws and regulations, and reliability of financial reporting.
Reviews and assesses the adequacy of this center of excellence as part of a continuing commitment to the integrity and importance of the internal control processes and also ensures that the center of excellence supports:
Expectations of full compliance with the Company's policies and standards and with external laws and regulations and that substantial compliance are not adequate. Exceptions may only be made in rare instances and then only when authorized by the CAE;
Compliance considerations for project timelines, project evaluations and governance committee submissions with the same degree of importance whether related to deal terms, closing dates, sale start dates, etc.; and
Expectations for elevating risk and control assessment results beyond the project team, day-to-day managers and others performing the assessment.

Generic Candidate Profile
Successful candidates should possess knowledge and experience and demonstrate strong leadership and relationship skills as follows:
Generally a professional position requiring significant knowledge and experience in one or more disciplines and/or business operations as well as associate and/or organizational management experience. College degree and/or relevant experience generally required.
Specific Candidate Profile (the education, experience, skills and attributes that are important for this position)
Education
• College degree or equivalent business experience required, advanced degree preferred.
Experience
• Professional position requiring at least 10 years of experience in multiple disciplines and/or business operations, including at least five years managing a team of direct reports.
• Professional certification and relevant work experience as a Certified Public Accountant (CPA), Certified Internal Auditor (CIA), Certified Information Systems Auditor (CISA), Certified Fraud Examiner (CFE), or Information Privacy Professional (IPP) preferred.
• Must have strong interest in promoting certifications as a means of increasing the knowledge and skills necessary to support our business partners and have the aptitude to leverage this knowledge and skills to increase organizational capability.
Skills and Attributes
• Broad knowledge of MVW businesses as well as of U.S. and international generally accepted accounting principles (GAAP), the timeshare industry, and internal control systems.
• Prior experience in designing, implementing and executing internal controls projects within an organization.
• Extensive skills and experience in the control principles and practices of financial and business environments, including capital markets, mortgage banking, and site development.
• Extensive project management experience and demonstrated ability to plan and manage multiple projects and staff members.
• Demonstrated knowledge of process architecture and process management.
• Extensive skills in identifying and resolving business problems within a team setting. Ability to research and identify best practices. Strong analytical, time management, leadership, interpersonal and project management skills.
• Proven project/team management skills including communication, design, execution, roll out and testing.
• Proven ability to influence and motivate others across departmental lines and move teams toward change.
• Proven ability to effectively communicate with all levels of management..
• Ability to travel as requested.
