Director - Investor Relations - First Niagara Bank - Buffalo


Job description
First Niagara is seeking a Senior Manager, Investor Relations, who will be responsible for developing and implementing a proactive comprehensive investor relations strategy in partnership with CEO and CFO to communicate company strategy to investors, research analysts and other stakeholders.
This role serves as the corporate spokesperson and primary day-to-day interface for investors, sell-side analysts, financial media, and other external constituencies. While the position will report to the Managing Director of Investor Relations, the position will have very frequent interaction with the CEO and CFO, and will serve as the senior strategist to the CEO / CFO on investor relations issues.
Serve as the corporate spokesperson and primary day to day interface for investors, sell- side analysts, and financial media.
Manage the quarterly earnings release process including conducting business and financial analysis in collaboration with business leadership, draft earnings releases and earnings call scripts, prepare talking points and Q&A that covers financial, business, legal and competitive issues and trends.
Write and develop external communications including press releases, website, regulatory filings, annual reports, and other investor collateral such as investor kits, fact sheets, and newsletters.
Implement an investor targeting program to help the company achieve its optimal shareholder mix and maximize the effectiveness of management time with IT activities; including road shows and investor calls and meetings.
Prepare presentations for industry and investor conferences, meetings and events presented by the CEO, CFO and other senior management.
Provide business, financial and market intelligence to the Management Committee members and identify industry trends, shareholder concerns and competitor actions that might impact the company. Provide the CEO / CFO with accurate feedback related to discussions with the investment community and its reaction to the Company's business strategies, market developments, and external events.
Establish and maintain processes to monitor and measure the effectiveness of the Company's investor relations and communications efforts.
Develop and implement comprehensive, strategic and proactive communications and IR annual plans.
Ensure compliance with corporate policies and securities regulations.
Maintain relationships with corporate governance groups (e.g, ISS / Glass Lewis etc).
Maintain compliance with all relevant and applicable internal and external rules, regulations, and polices that govern this position. Operate in a manner that is in strict alignment to FNFG's Code of Ethics policy.
Manage employee(s) in a manner that is consistent with FNFG standard, practices, and polices. Ensure team receives appropriate feedback in order to drive line of business / function objectives and FNFG's Corporate Strategy. ( Only if role has direct reports)

Desired Skills and Experience
Minimum of 8-10 years experience in Investor Relations, sell-side / buy-side or other finance experience.
Will have led or been second in command within a top tier IR program or has experience as an equity analyst on the sell-side or buy-side, ideally in a financial services role, and will be very comfortable operating in both a strategic and tactical capacity.
Minimum of bachelor's degree in business, finance, economics or related field. Master's degree and/or CPA preferred Knowledge of specific function / industry

An in-depth-solid understanding of the financial and investment markets including understanding of strategic communications, the Federal Reserve policy and its impact on financials, financial markets, and banking industry knowledge
A thorough understanding of strategic communication and investor / financial writing.
Strong business acumen and judgment. Current knowledge of company markets/produces and industry trends. Demonstrated business analysis skills that generate insights that positively impact investor and analysts activities.
Superior interpersonal skills, ability to work effectively in a matrixed environment and establish effective working relationships across the company including members of management committee and the operating committee.
Strong knowledge of U.S. accounting standards and practices.
Proven relationships with key contacts in the financial and investment communities and the ability to establish new relationships quickly a plus
