The M&A team within the Cognizant Digital Business Line of Service drives, coordinates and supports acquisitions across the various practice areas (each practice area is a sub P&L within Cognizant Digital Business). The Commercial Deal Lead will be part of global team and work on a variety of deals focused on advancing the Digital Business strategy. The candidate will plan diligence in collaboration with corporate team and the practice area, perform due diligence analysis on targets, program manage the commercial deal and present synthesized findings to leadership. On some deals, this role is more of a guide and coach, but is expected to be hands on multiple deals. This is a high visibility role that involves interactions with multiple stakeholders across verticals, geographies and lines of service. In addition to M&A-related skills, an ideal candidate would ideally have commercial, operations or delivery experience in IT and professional services.
Planning and management:
Prepare and manage deal and diligence - timelines, priorities and meetings, tailored to the type of deal, target, and timeline expectations.
Prioritize, summarize and synthesize diligence findings and recommendations for executive leadership
Identify, resolve or escalate issues that create delay or risk
Support the business case rationale for executive approvals.
Perform commercial due diligence and analysis on potential targets.
Analyze contracts and account plans to identify commercial risks and opportunities.
Review growth plans and pipeline to create go-to-market plans and synergy models.
Engage and coordinate with experts from within the Digital Business practices.
Coordinate diligence with Corporate Development teams like finance, tax, legal, HR, security and compliance and other businesses within Cognizant
Other activities:
Engage with target company executives to communicate Cognizant strategy, collaborate on a shared vision and plan.
Perform industry, market, companies and competitor research.
Work with business owners and corporate teams to plan integration activities.
Create templates and playbooks to educate business teams on M&A execution
Qualifications
Knowledge, skills and abilities:
Strong business analysis skills: analyze, organize, synthesize and make connections across different data sources.
Ability to question and challenge assumptions.
Familiarity with operational metrics, commercial and delivery models in IT and professional services, e.g. utilization, revenue recognition, pipeline management and types of customer contract.
Strong executive presence, relationship building and expectation management with M&A target executives and stakeholders
Strong communication and writing skills with ability to interact with multiple groups.
Clear executive presentations and summary reporting: synthesize, prioritize and make recommendations around top deal issues and risks.
Familiar with IT and professional services from a sales, operations, partnership and/or M&A perspective. (Ideally one or more of digital design, interactive solutions, ERP solutions, quality assurance, cloud migration and development services).
Ability to work and lead in a team environment across time zones.
Education and background:
MBA (preferably business background)
3+ years M&A diligence experience.
8+ years in IT services and consulting and/or business operations roles in professional services
Intellectually curious, attention to detail, loves to dive in to data and synthesize business findings.
Experience in leading multi-disciplinary team on projects with tight timelines
Other helpful experience includes market research, consulting, business development (large multi-service RFPs), and financial modeling
