SecureWorks, an industry leader in the provision of cybersecurity services, is a seeking an attorney with a strong transactional background to join our growing legal team as a Legal Counsel based in the Atlanta office. You will report to the Vice President, General Counsel of SecureWorks. High integrity and excellent judgment in balancing legal risks with business strategies are essential to the role, which is focused on providing pragmatic counsel as to issues and transactions involving security services and related software and solutions.
Handle complex international client transactions involving the provision of cybersecurity solutions and services.
Experience with joint ventures and strategic alliances, sourcing and supply agreements, service agreements, distribution, sales and licensing arrangements, financing and other transactional matters, in the United States and internationally.
Experience in developing and implementing intellectual property right protection strategies, managing employment law issues and creditors' rights and bankruptcy issues.
Provide legal advice and support for mergers, acquisitions, investment transactions, and strategic partnerships and alliances, including management of the due diligence process, drafting and negotiation of definitive deal agreements, supervising outside counsel, actively managing the deal process, and advising on integration activities.
Provide effective support to the Company’s Sales and Marketing teams.
Provide strategic business and legal advice to minimize legal risks and ensure compliance while advancing business interests and ensuring an excellent client experience.
Remain up-to-date on relevant industry, commercial, IP, cybersecurity and privacy laws and regulations to ensure an ongoing ability to provide excellent legal advice.
Efficiently manage outside counsel and associated budgets as needed.
Help design, implement and administer Legal Department processes.
Other Legal projects as assigned.
As a managed security provider, Dell SecureWorks expects its employees to understand and apply commonly known security practices and possess a working knowledge of applicable industry controls such as NIST 800-53. Employees will be expected to acknowledge their security responsibilities in writing prior to gaining access to company systems. Employees will be required to maintain a working knowledge of local security policies and execute general controls as assigned.
Qualifications
Requirements
J.D. degree from an ABA accredited law school with strong academic performance. Active membership in good standing with at least one state bar; State Bar of Georgia is preferred.
5-10 years of relevant experience in law firms and/or in-house legal departments. In-house transactional experience at a technology company is preferred.
Experience in structuring, negotiating, and drafting a wide range of commercial and technology agreements.
Strong academic credentials.
Exceptional ability to prioritize and manage multiple projects with poise in an entrepreneurial fast-paced environment.
Excellent written and oral communication skills.
Demonstrated ability to convey detailed, complex information to senior management and Legal team members in a succinct and cogent manner, and to partner with employees of all levels throughout the organization.
