As a member of the Transaction Services practice, you will help clients navigate through complicated transactions and events, from evaluation through integration, in a multifaceted business environment. PwC helps clients negotiate with confidence. Some of the world's most prestigious companies rely on our buy-and-sell side due diligence capabilities and turn to us for advice on financial reporting, valuation and tax issues. We also provide advice and project management for capital raising events such as initial public offerings, secondary listings and private placements. For companies in distressed situations, we advise on crisis avoidance, financial and operational restructuring and bankruptcy. Clients rely on PwC to help them make informed and empowered decisions to invest, divest, raise capital or reorganize. As a part of PwC’s Deals/Transaction Services or TS practice, Capital Markets and Accounting Advisory Services or CMAAS solves complex financial reporting issues around deals and other transformational events.
We Advise Our Clients, Primarily Fortune 500 Public Companies And Large Financial Institutions Such As Private Equity And Hedge Funds, In Moments Of Exceptional Change Around Deals, Stress And Accounting Change Helping Them Shape Strategy And Transformation. Our Main Areas Of Focus Include
Capital markets such as IPOs, spins, debt raisings and capital structure advice;
Acquisitions;
Alliances such as enter/exit JVs, strategic alliances, licenses, collaborations, etc.;
Divestitures;
Crisis, restructurings and restatements; and,
Deal strategy and readiness including navigating accounting complexity and change.

Position/Program Requirements

Minimum Degree Required: Bachelor's degree in Accounting
Certification(s) Required: CPA
or equivalent
The Selected Individual Will Participate As a Project Engagement Leader On Complex Accounting- And Financial Reporting-related Project Teams In Areas Of Focus Listed Above. This Includes Demonstrating Intimate Knowledge Of The Following Areas
Advising multi-national, publicly-traded companies and private equity firms on a broad range of technical accounting, financial reporting, and capital markets accounting topics including IPOs, carve-outs and/or spin-offs; business combinations and/or purchase price allocations; private placements; and debt offerings;
Applying US GAAP, SEC reporting, IFRS and related financial reporting concepts and rules including financial instruments; leasing; consolidations; IFRS conversions; fair value assessments; convertible securities; derivatives and hedging; stock-based compensation; revenue recognition; and/or business combination regulations to solving client issues; and,
Demonstrating thought-leader level knowledge of multiple complex accounting topics.
The selected individual should have a strong interest in deals, capital markets and other transactions based activities and should expect to operate in a high pressure, fast-paced work environment with like-minded individuals.
Skills Preferred
The selected individual will participate as a team leader, coordinating with Managing Directors and Partners and other professionals on a daily basis in areas of focus listed above. The individual will demonstrate intimate abilities and/or a proven record of success managing efforts with identifying and addressing client needs: building, maintaining, and utilizing networks of client relationships and community involvement; communicating value propositions; managing resource requirements, project workflow, budgets, billing, collection; and, preparing or coordinating complex written and verbal materials. Additional areas include the following areas:
Advising clients on capital transactions, including IPOs, carve-outs/spin-offs, business combinations, private placements, and debt offerings;
Researching, analyzing and communicating the impact of accounting standards and financial reporting requirements to complex
deals and transactions such as financial instruments, leasing, consolidations, IFRS conversions, fair value assessments, convertible securities, derivatives & hedging, stock-based compensation, revenue recognition and/or business combination regulations;
Leading large complex projects and multiple projects concurrently. Example projects include mergers and acquisitions, initial public offerings, etc;
Understanding of capital markets and the related registration processes;
Reviewing and providing feedback to more junior team members on work performed;
Helping clients anticipate and navigate the financial reporting and accounting implications associated with planned or contemplated transactions;
Interacting with members of client senior management team in an effective manner; and,
Interacting with the broader deal team, including investment banks, lawyers and various other professionals.
