This position will be in Intercept’s Legal Affairs Department and will report to the Senior Vice President—Legal Affairs (Global Head of Legal). As part of a matrix organization structure, this position is expected to work closely with Intercept’s finance/accounting, business development/strategy, HR/facilities, commercial and R&D personnel.
ESSENTIAL FUNCTIONS:

To perform this job successfully an individual must be able to perform each essential function satisfactorily.

Assume responsibility for the company’s filings with the Securities and Exchange Commission, including 10-Ks, 10-Qs, Proxy Statements, 8-Ks and Section 16 filings in collaboration with internal and external accounting and legal teams.
Act as a key lawyer/legal advisor on all major business transactions, including financings of various types, acquisitions, divestitures, licensing and technology transfer and collaborations and joint ventures.
Work closely with Intercept’s finance/accounting, business development/strategy, HR, commercial and research and development personnel, along with other legal professionals (IP, corporate, commercial and clinical), as well as management.
Provide legal advice in relation to investor relations and public relations matters.
Negotiating and taking a leading role on general corporate legal matters, such as working with HR on employment and labor-related matters and facilities on leases.
Be the legal representative on a number of company cross-functional subcommittees and working groups, such as those dealing with equity awards, treasury matters, corporate entity management and financial reporting.
Assist the Head of Legal Affairs in providing legal and professional support to Intercept personnel on a range of legal matters.
Be adept at managing outside counsel and internal legal staff. The successful candidate is anticipated to have at least one direct report from the start.
Lead contractual negotiations for key contracts with partners, collaborators, service providers, consultants and other vendors to ensure appropriate business and legal terms.
Lead the company secretarial work for the Intercept group of companies.
Take a leading role in the operations of the Legal Affairs department.
Assist the Contract Management Team with drafting and revising a broad range of agreements, including clinical trial agreements, master services agreements, consulting agreements, material transfer agreements, sponsored research agreements, confidentiality – agreements, supply agreements and commercial agreements.
Contribute to the constant improvement of the internal and external contracting processes.
Engage in a range of corporate support activities, including building corporate and support infrastructure for a quickly growing and evolving business.
Assist other members of the legal department with policies and procedures relating to corporate governance, department administration, and other matters.
Provide exceptional service to Intercept’s operating units.
Maintain professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks; and participating in professional societies.
Other duties and projects as assigned by the Head of Legal Affairs and management.
Experience and Skills
QUALIFICATIONS:

JD from ABA accredited law school
Active, good standing state bar admission
7-10 years of relevant law firm and/or in-house experience.
At least 4 years previous in-house experience preferred
Significant experience in biopharma – must understand the industry and its nuances. Experience working in-house for a biopharma company a plus.
In depth knowledge and experience in securities law.
In depth knowledge and experience in transactional law, specifically related to Business Development, M & A, licensing, and contracted services.
Knowledge and experience in handling other general corporate matters such as employment and labor, facilities/leases, entity management, etc.
Experience supervising junior attorneys, paralegals, contract specialists and outside counsel.
Strong proficiency in Microsoft Excel, Word, PowerPoint, and Outlook.
REQUIRED KNOWLEDGE AND ABILITIES:
