Corporate Counsel, Securities Amazon Seattle

Amazon is seeking a Corporate Counsel to support SEC reporting, including annual and quarterly reports and Section 16 compliance, proxy statements and annual meetings, insider trading issues, and corporate governance issues. The new Corporate Counsel will work actively with internal clients in accounting, finance, tax, and stock.
The ideal candidate will have a strong corporate and securities law background, especially in the areas of SEC reporting, proxy statements and annual meetings, corporate governance (including board and committee support), Delaware corporate law, and Section 16 reporting. Such candidate will also need to demonstrate experience working directly with, and exercising judgment advising, clients on complex transactions or disclosure matters and must be flexible and willing to work extended hours when necessary. A minimum of 5 years of legal experience is required. The position is located in Seattle.

Basic Qualifications

JD degree
5+ years of experience as a corporate and securities attorney
3+ years of law firm experience
Admission to at least one state bar association
Preferred Qualifications

Ability to manage a large number and variety of mission-critical projects, working independently and often in ambiguous environments
Sound and practical business judgment as well as common sense
Exceptional written and verbal communication skills
A team player who can effectively work with paralegals, assistants, and business clients cooperatively and efficiently
Highest standards of ethics and professional integrity
Law firm training in a prominent securities practice
