Director Corporate Counsel Lupin Pharmaceuticals Baltimore

We are currently seeking an individual for the position of Director, Corporate Counsel, reporting to our Vice President, Legal Affairs. This position is located preferentially at the company’s headquarters in downtown Baltimore, Maryland, or alternatively, at the company’s Somerset, New Jersey research and manufacturing facility.
Responsibilities:

Corporate partnering: assist in running and negotiating corporate collaborations and licensing transactions. Structure, draft and negotiate complex transaction agreements. Manage internal and external deal processes and drive deal execution (including form documentation). Plan, assist and coordinate due diligence exercises.
Lead general corporate contracts – drafting, negotiating and reviewing a wide variety of corporate contracts, including confidentiality, consulting, services, manufacturing, clinical trial, licensing and related agreements.
Work closely with Business Development, Finance/Accounting, Commercial, and Human Resources departments to assist in their day to day operations/functions.
Researches, reports and issues recommendations on applicable law and regulations affecting company projects, deployments, business development, accounting, tax, facilities and administration (including human resources).
Reviews and revises company policies and procedures as required by applicable law and regulations, and internal requirements.
Supports Vice President – Legal Affairs in other tasks, including investigations, review and negotiation of lender and strategic agreements.
Advise senior management and business personnel.
Assist with regulatory and other legal pharmaceutical compliance matters.
Work with outside counsel to oversee corporate-related litigation matters.
Manage internal team members and constituents and outside advisors, including active management of outside counsel.
Qualifications:

JD degree from an ABA-accredited law school with strong academic credentials.
BA/BS from accredited institution.
Ten plus years of law firm and/or in-house legal experience.
Member of at least one state bar
Awareness of healthcare laws and regulations, including Medicare, Anti-kickback, Stark law
Excellent communication skills (both verbal and written).
History of self-motivation, sound judgment and excellent interpersonal relations.
The position requires intelligence, initiative, responsibility, creativity, motivation, flexibility, and the ability to work independently with minimal supervision.
Experience with drafting and negotiating M&A documents, commercial contracts and licensing agreements. Understanding of intellectual property law and employment law helpful.
Ability to communicate effectively with a variety of constituents to include executive management, company associates, outside counsel, outside organizations and agencies.
Demonstrate broad business orientation and ability to quickly establish credibility as an attorney and business partner with cross functional perspective.

Ability to travel periodically as needed.
