Director - Investor Relations - Spencer-Ogden - Houston
Job description
A small, yet growing Offshore Deep Water Operator, based in Houston is looking for a self starting Director of Investor Relations to join the business and be an integral part of its growth strategy moving forward. The individual will be fundamentally tasked with fund raising and building a network of investors in North America, with institutional investors being the intended target. Along the way, certain prospects for M&A will also be targeted.
Position Overview:
The Director, Investor Relations, is responsible for operating the objective of the Investor Relations program to educate and update investors about the company to achieve a fair relative stock value. Additionally, this position will work on transactions for the business that includes funding and mergers and acquisitions; handle all aspects of large transactions for the business including due diligence,
preparing information on the financial direction of the business, and undertakes all reports to help with strategic financial planning. This position will report to Chief Financial Officer.
Essential Duties and Responsibilities:
Investor Relations
• Leads the development of the IR strategy, operating plan, and budget.
• Manages the functional area which handle investor inquires / requests and ensures ongoing communications with shareholders is timely accurate and relevant.
• Acts as the primary contact between the Company and the Investment community.
• Creates value-driver-based investment messages in collaboration with the executive management team.
• Keeps shareholders knowledgeable about the company (and implicitly encourages them to buy and hold) including Annual Meeting of Analysts & Investors.
• Leads the IR effort to find, support, and encourage prospective investors by broadening awareness and interest through conferences, presentations, meetings, media, and mailings.
• Hosts conference calls, prepares conference call scripts and practice questions (with answers when needed), and leads practice sessions.
• Leads the use of statistical targeting to identify good-fit institutional investors; contacts the analysts at those institutions to encourage interest and investment.
• Supports the investors’ decision-making processes through visits to institutions, individual meetings, visits by analysts and investors to company facilities, and visits with appropriate other senior executives.
• Supports security analysts in brokerage firms.
• Strengthen the company’s brand reputation with breakthrough positive communications for major business announcements and executive thought leadership platforms.
• Is the office of record for public disclosure to the investors.
• Annual report: leads theme, content, design, production, and delivery.
• Quarterly results, dividend and other news releases.
• Transcript of Annual Meeting of Analysts & Investors.
• Leads conference calls, both for quarterly results and special events.
• Leads the company website theme and content.
• Leads the policy, establishment, and maintenance of the IR website archive of historical information for investors.
• Leads or collaborates with company marketing, advertising and media news stories.
• Discussions with analysts and review of draft reports for accuracy of publicly disclosed information.
• Analysts’ discussions with Chairman and CEO to verify understanding of strategy and direction.
• Other duties as assigned.
Corporate Finance
• Key participant in company’s debt and equity capital raise activities.
• Advise on how to meet targets and create investment capital.
• Coordinates and manages capital raise process and timeline with external banks, investors, lawyers, and internal participants.
• Analyze term sheet/sanction terms, loan documentation, replies, correspondence and liaises with banks and financial institutions.
• Build and maintain strong relationships with banks, financial institutions and industry players.
• Provides analytical support, develop and use financial model to assess and predict financial risks and returns of potential transactions.
• Negotiate and structure financial details.
• Liaise with parties involved in transactions and assist with negotiations.
• Liaise with accountants, legal, financial experts and regulatory bodies.
• Support legal documents and prospectuses preparation.
• Contribute to competitive bid proposals and formal presentations.
• Maintains public company comparable to show relative valuation of the company versus peers.
• Supports the strategy and planning process administratively and content-wise.
• Collaborates with technical team to gather information and integrates into presentation.
• Coordinates with external investor relations contractors to provide support for earnings calls, press releases and investor contact.
• Assists senior management with preparation of the Board papers administratively and content- wise.
• Assists in special projects as defined by senior management.
• Assists the Financial Reporting Manager and the Controller in preparing Securities and Exchange Commission (SEC) reporting primarily related to investor disclosure, mergers and acquisitions, and capital raise activity.
Desired Skills and Experience
Qualifications:
• Minimum of 10+ years of experience in investor relations, corporate finance, marketing, planning
and development, and/or corporate communication positions for a public company. Must
have a minimum of a Bachelor’s degree in Finance, Economics, Accounting, Communication,
Marketing or related discipline, MBA preferred.
• Working knowledge in oil and gas (upstream) industry.
• Experience in mergers and acquisitions, fundraising and valuation or in a similar environment.
• Substantial experience crafting shareholder communication.
• Strong network of relationships amongst the investing community.
• Strong and well-rounded business and macro-economic understanding.
• Strong analytical bent of mind and structured problem solving approach.
• High level of strategic and creative thinking and an ability to come up with solutions with a tax
and legal structuring perspective.
• Extremely high level of comfort with spreadsheet, MS Word and PowerPoint.
• Strong financial modeling and cost analysis skills.
• Strong leadership, management, interpersonal skills, team skills, communication skills both
verbal and written including presentations.
• Excellent judgment and discretion; ability to handle multiple priorities simultaneously, and meet
deadlines.
• Remain calm and professional in stressful situations.
• Exceptional writing, editing, proofreading, communication and time management skills.
• Reputation for having excellent interpersonal skills, especially in dealing with the senior
management teams, internal clients and other key constituents, both internal and external to the
company.
• Deep understanding of communications and how it is used to support and develop a brand.
• Outstanding financial and investment analysis skills in SEC reporting requirements / filings, and
financial regulatory issues.
• Competent to lead all facets of the applicable phases of investor relationship management and
investor/shareholder programs.
• Ability to ensure company’s compliance with SEC and other regulatory entities.
• Excellent research and development skills in the investor relations area.
