Corporate Counsel Director BlackRock San Francisco

Attorney will support BlackRock’s nationally-chartered trust bank, providing legal advice and consultation on a variety of issues relating to fiduciary activities and governance.

Responsibilities
Providing legal counsel to portfolio management, client-facing, risk, compliance, finance, and operational teams, focusing on issues relating to fiduciary services offered by BlackRock’s trust bank to institutional clients, including, but not limited to:
product and service design and implementation;
investment management or similar agreements with clients and their advisors/consultants or other intermediaries;
agreements with service providers;
client and product disclosures;
regulatory and client reporting;
sales and marketing materials, whitepapers and other thought pieces;
responses to requests for comment on proposed regulation;
responses to requests for proposals or information from prospective clients or their advisors/consultants;
new regulations or regulatory guidance;
bank-related and bank-specific policies/procedures; and
ongoing OCC examination.
Providing legal advice in close consultation with senior management to shape and implement bank governance, business strategy and objectives, and to design and drive the implementation of practical solutions to business challenges that comply with applicable law and appropriately balance risk.


Requirements
Candidates must have a J.D. with superior academic credentials from a nationally-recognized law school and ten to twelve years' experience as a lawyer in a major law firm and/or in the legal department of a leading financial services organization.
Candidates should have some experience with general corporate law and the U.S. federal securities laws (preferably the Investment Advisers Act and/or the Investment Company Act) and/or U.S. banking law applicable to investment managers or trustees.
Candidate should have some experience with ERISA as applied in an investment management context.
Candidates should have some experience leading cross-functional initiatives and managing teams.
Candidates must have exceptional analytical and inter-personal skills.
Candidates must be effective communicators, both verbally and in writing.
Candidates must have superior organizational skills and be able to work efficiently and effectively in a demanding, fast-paced, global environment.
Candidates must have the ability and desire to master new or unfamiliar areas of law.
Candidates must maintain the highest standards of professionalism.
Familiarity with U.S. federal procurement law and European Union law applicable to investment managers is helpful but not required.
Experience managing investment-related disclosures for large suites of related products is helpful but not required.
Experience managing outside counsel is helpful but not required.
