Executive Director Primary Care & Specialty Transactions Merck Kenilworth

The Transactions Leader will lead cross-functional deal teams to formulate, value, test, and present business cases to executive management in support of deals that will be negotiated to completion if approved. Will report to the Head of Specialty and Primary Care Transactions with a specific area of focus on specialty and primary care transactions, however will transact on deals outside of the cluster when assigned. Responsible for deals from discovery/early stage through late-stage and/or complex transactions to populate the Merck pipeline and will negotiate and execute agreements involving a variety of deal structures which may include traditional licenses, clinical collaborations, co-development/commercialization agreements and acquisitions. These will also include technology deals including biomarker and diagnostic focused collaborations.

Specific responsibilities will include and are not limited to the following:
Deliver on all transactions on a timely basis within the core focus areas as well as those outside of these areas when assigned
Partner with senior leaders within MRL and Global Human Health (GHH) to establish and maintain strong strategic and executional alignment
Provide leadership and mentoring to transactions managers
Develop strong partnerships with Search & Evaluation team members and Alliance Managers around the process and substance of deals
Contribute as needed to ad-hoc Business Development & Licensing (BD&L) initiatives and special projects.
The Executive Director will routinely interface with and seek to influence Executive level management, both in executional aspects (presenting deals for consideration and approval), and also in relational aspects. This person will be expected to routinely interface with leaders within MRL and GHH. S/he will be expected to form a strong partnership with research, clinical, and commercial leadership. S/he will have strong influence on outside partners and potential partners, as would be expected in a business development leadership role.

The incumbent will lead deal teams to ensure they organize and present strong, cogent business cases for deals to be recommended to senior management. Will maintain alignment with MRL and GHH partners to deliver on intense, aggressive BD goals set by the corporation. Must have superb judgment to be responsible for large numbers of complex decisions embedded in deals and contracts. Will lead on various transactions and support on certain transactions as needed to balance the work flow across the group.

Will solve complex problems during negotiations, and will apply judgment in reviewing and recommending complex transactions. Requires both business and financial acumen, as well as a deep understanding of the needs and risk inherent in drug development.



Qualifications

Education:
Required: Bachelor's Degree in Science, Business, Law and/or Finance
Preferred: Advanced Degree
Required Experience:
Minimum of (8) years experience in Pharmaceutical or Biotech Business Development roles or 8+ years of relevant transactional experience
Significant experience in transactions required including extensive experience in negotiating deals from research stage, collaborations through M&A transactions. (Deal Sheet)
Understanding of scientific principles and the drug development process
Therapeutic area understanding is beneficial
Solid understanding and experience with financial analysis, competitive intelligence including sensitivity to deal comparable's, small company analyses and presentation development
Demonstrated leadership, interpersonal skills and creativity in applying analytical frameworks and solutions to business issues are critical
Demonstrated ability to partner with and influence executive leadership
Demonstrated ability to accurately gauge the urgency of an issue and proactively manage the actions required to make a successful decision within aggressive timelines
Excellent judgment, sophisticated approach and strong track record of building constructive relationships with all stakeholders and team members (including management, peer-group, and cross – functional team members/reports)
