Job Description
The Investor Relations Director is responsible for managing and overseeing the investor relations and shareholder communications for Vocera. This individual will work closely with the Executive Management team to enhance relationships between the organization, its shareholders, and the general financial and media community. The role will create and maintain compelling investor collateral and is responsible for analysis that provides insights into Vocera’s public market value, trading activity, as well as analyst and shareholder efforts. The Investor Relations Director will work closely with the CEO and CFO to develop and execute an IR strategy that drives long term shareholder value.

Responsibilities:

Investor Communications

Plans and coordinates IR conference calls with financial analysts and investors; prepare data that will be disclosed, draft script and earnings release, FAQs and other required information
Maintains, cultivates and grows sell-side financial analyst coverage
Plans and coordinates regular interviews with leading financial publications
Positions the global senior executives as thought leaders in healthcare industry
Effectively communicates the company’s strategy and results to investors, shareholders and the executive management team and manages Wall Street’s expectations
Presents and explains the company’s businesses, including product offerings, market/customer dynamics, financial results and major business events to the financial community
Plays a leading role in developing and implementing the company’s public positioning on difficult issues, often requiring precise and delicate messaging
Ensures information on IR portion of the company website is updated and accurate
Regularly communicates information relating to stock market and investor/analyst attitudes to senior management and the Board of Directors
As needed, creates quarterly communication documents for sales and marketing personnel to use as part of customer presentations
Investor Meetings & Relationship Management

Organizes company participation in and attendance at investor conferences, “Non-Deal” roadshows (NDRs) and other relevant meetings; ensuring conferences are thoughtfully planned and well-executed
Works closely and effectively with the marketing teams to plan and coordinate investor days and other presentations
Develops a strong rapport built on trust and collaboration with sell-side analysts and buy-side investors
Maintains regular contact with an active and progressing funnel of prospective analysts and investors
Manages relationships with applicable stock exchange (NYSE) and third party vendors
Regulatory Reporting & Analytics

Participates in the preparation and release of the company’s financial and operating results and reports, including Forms 10Q, 10K/Annual Report and Proxy, including coordination of the annual shareholder meeting
As needed, advises the CFO/CEO on matters up for shareholder vote or input (e.g. Say-on-Pay)
Regularly analyzes the shareholder base and drives an effective targeting campaign to proactively reach new prospective shareholders
Performs financial benchmarking, including ratio analysis for companies included in the company’s competitor and peer group to gain a solid understanding of their operations, capital structures, working capital management, nature and size of revenues, gross and operating margins, cash flow/earnings multiples, historical growth rates, and other important financial metrics
Performs ongoing analysis and monitoring of competitor and peer group companies – presentations, financial reporting, disclosures, and websites
Reviews financial models prepared by sell-side analysts and compares to the company’s internal forecasts and communicates to internal team for review and action
Monitors sell-side analyst reports on the company, competitors and customers

Solid knowledge of capital markets, including buy-side and sell-side activities and cycles
Excellent writing and presentation design skills
Requirements

Master’s degree in business or finance or equivalent; CPA/CFA highly desirable
10+ years of public company investor relations experience, including ownership of all aspects of quarterly earnings calls
Previous sell-side and/or buy-side experience
Familiarity with IR targeting and analytic tools (e.g. Thomson ONE)
Strong Excel, word processing and PowerPoint skills
Media spokesperson experience
20-30% domestic travel is required, limited international travel
