Senior Director - State Taxes - Eaton - Cleveland


Job Description
Eaton located in Cleveland, OH has an opening for a Senior Director, State Taxes. The Director - State Taxes plays a key role within the Tax function of the Corporation. The position will report to the VP – Tax Operations. The position is responsible for managing state and local tax (SALT) department while exercising considerable discretionary judgment in controlling annual costs in excess of $50 million. State and local taxes include: income tax, property tax, sales and use tax, and incentives. Key responsibilities include partnering with operations’ management to drive SALT planning, compliance, and defense of Eaton’s return positions including leading tax litigation law suits in state tax courts to resolve SALT issues. The position is responsible for assuring that Eaton Corporation, its subsidiaries and associate companies fully comply with state and local tax laws in the most cost effective manner. Additionally, the position is responsible for complying with SALT GAAP accounting requirements including ASC 740 and its related rules regarding interim accounting and uncertain tax positions. The position is also responsible for the assurance of internal controls in the SALT area including the documentation required under Section 404 of the Sarbanes-Oxley Act. The position participates in the negotiation of highly confidential domestic economic packages between Eaton companies and state and local Economic Development Departments and works with Eaton’s Government Relations Department to assure that Eaton has the proper representation in passing new tax laws that impact our operations. The position will directly manage a staff of 4 managers and indirectly manage 12 professionals and 2 paraprofessionals. Staff members are located in both Cleveland, OH (15) and Houston, Texas (3).

Essential Functions:
The successful candidate must have 15+ years of accounting/auditing in a global corporation and/or Big 4 Accounting Firm with background on all facets of state and local taxation with emphasis on ASC 740 accounting. The individual must thrive on driving change through a complex and rapidly growing enterprise. The successful candidate will have direct experience or familiarity in the following areas:

Tax Accounting - Strategic
•Providing tax technical advice on state tax accounting calculations and questions.
•Participating on a tax planning team to advise on the state tax accounting consequences of various tax planning strategies.
•Assisting in addressing tax-sensitive changes in legal structure, geography and business changes.

Tax Accounting – Governance
•Prepare/review current and deferred state and local tax provision calculations.
•Prepare/review state and local deferred tax asset and related valuation allowance analysis.
•Prepare/review state and local reserves for uncertain tax positions.
•Prepare/review state and local documentation required under section 404 of the Sarbanes-Oxley Act.

Tax Processes
•Review all material state and local income tax returns.
•Develop process improvement and communication of best practices in state tax compliance and accounting procedures.
•Provide training, mentoring and develop staff.
•Assist in evaluating the quality, comprehensiveness, and utility of the quarterly and annual state tax reporting process.

Tax Hearings/Litigation
•Represent the company at administrative hearings on SALT issues
•Lead tax litigation (with appropriate outside counsel) when necessary to use state tax courts to resolve SALT issues.

Tax Incentives
•Negotiation of incentives packages with state and local Economic Development Departments
•Tracking compliance and accounting for new and existing incentive agreements.

Tax Legislation
•Works with government relations department to propose new tax laws that are favorable to existing / planned operations.
