Director - Legal and Business Affairs - Huge - Brooklyn


Job description
The Director, Legal & Business Affairs will be responsible for managing legal process within the company. HUGE is a digital agency of The Interpublic Group of Companies, Inc. (NYSE: IPG), a leading advertising, marketing and communications company headquartered in New York. The Director of Legal & Business Affairs will report to the CFO and to the IPG legal team. The position is based at HUGE’s main offices in Brooklyn, New York.

Responsibilities:
Negotiate, draft and provide advice regarding a wide range of commercial agreements including client agreements, vendor agreements, technology licenses, software/hardware purchase agreements, consulting agreements, and non-disclosure agreements.
Manage contracting process to establish efficient flow among all relevant parties, including company operations teams, company finance, and IPG legal team.
Educate and advise the organization regarding key issues (including patent indemnification, digital and technology IP ownership, warranties, etc.).
Issue-spot and provide advice regarding intellectual property and false advertising risks as they arise.
Review and update internal business processes and policies on an on-going basis as they relate to business risk mitigation.
Provide training to all levels of the organization regarding best practices for contracting processes and legal review and procedures.
Liaise with company finance to ensure client agreements accurately reflect desired revenue recognition objectives.
Assist company finance in evaluating agreements and business opportunities regarding their impact on business model, reporting, and compliance (including identifying opportunities from existing and potential business arrangements).
Create and oversee contract database.
Liaise with IPG Legal and outside counsel on as-needed basis.

Qualifications:
JD with 5+ years law firm and/or in-house experience including general corporate matters, contract negotiations, and intellectual property matters. Admitted to practice in New York.

Requirements:
Significant transactional and contract negotiation experience.
Solid business instincts and judgment.
Proven ability to think strategically and to analyze and solve problems in the best interest of the company.
Ability to work in a fast paced, deadline-oriented environment.
High attention to detail and proven ability to manage multiple, competing priorities simultaneously.
Outstanding written and verbal communication skills, including ability to communicate effectively and persuasively to varied audiences and stakeholders.
Comfortable structuring deals involving new technologies (digital, mobile, etc.).
Experience in media/advertising or digital/technology a plus.
