Job Description
SUMMARY
Provides legal counsel and training to Benefits, Compensation, Human Resources, Labor Relations, Treasury, and Finance Departments with respect to the following areas: health and welfare benefits, retirement benefits, executive and rank-and-file compensation (including equity) programs, leave administration, and the benefits aspects of collective bargaining (including significant counseling on multiemployer pension plan issues)
POSITION ACTIVITIES AND TASKS
Consults with and advises Company's Senior Manager, Retirement Plans, Retirement Plan Analysts, and third-party administrators and recordkeepers regarding pension and 401(k) plan (8 current plans of each type; numerous prior/merged plans) interpretation, legal compliance, and administration matters
Consults with and advises Manager, Total Rewards Labor; Vice President, Labor Relations; Labor Relations Directors; and Financial Reporting managers on the benefits aspects of collective bargaining proposals and agreements (including with respect to the Company's participation in multiemployer pension and health and welfare benefit arrangements)
Consults with and advises Treasury Department personnel regarding legal compliance and risk management associated with investment of retirement plan assets
Consults with and advises Company's health and welfare benefits and leave managers and third-party benefits and leave administrators regarding plan interpretation, legal compliance, and administration matters
Consults with and advises the Company's Global Retirement Programs Committee (and its administrative and investment subcommittees) regarding retirement program legal compliance, litigation, and risk management
Provides training on legal aspects of benefits plans to Company benefits managers and shared services personnel
Consults with and advises Compensation and Benefits Departments; Vice President, Litigation; and employment attorneys on strategic aspects of compensation and benefits-related claims and lawsuits
Consults with and advises various constituencies regarding new legal or best practice developments impacting benefits, and compensation aspects of our business
Manages qualified domestic relations order function (including supervision of QDRO Coordinator/paralegal)
Provides direction, supervision, and feedback to QDRO Coordinator with respect to all aspects of the qualified domestic relations order process
Assists QDRO Coordinator with analysis of whether proposed qualified domestic relations orders constitute QDROs
Reviews, edits, and approves draft correspondence from QDRO Coordinator to plan participants, alternate payees, and the parties' legal counsel
Reviews, drafts, and negotiates agreements with vendors/service providers for benefits, compensation, and equity-related administrative services and products
Assists in establishing parameters for, and in reviewing vendor requests for, proposals for benefits and compensation-related services
Reviews, edits, drafts, negotiates, and provides counsel to Benefits and Compensation Departments with respect to vendor agreements for services and/or goods (e.g., administrative services, investment management services, pharmacy benefit management services, etc. agreements)
Manages and coordinates outside counsel with respect to a variety of benefits and compensation administration, compliance, and litigation matters
Manages and coordinates flow of information to/from outside counsel and Company personnel with respect to benefits-related litigation and related settlement negotiations
Manages and coordinates outside counsel to ensure that projects (e.g., plan amendments/restatements/filings, litigation, etc.) are completed timely
Informs and directs litigation and settlement strategy
Reviews and drafts employee/participant correspondence and plan/program fulfillment materials
Drafts summary plan descriptions and summaries of material modifications for retirement and health and welfare benefit plans and leave programs
Reviews and edits draft participant communications prepared by Company benefit managers and third-party service providers
Drafts, reviews, and edits participant correspondence regarding benefit claims and appeals
Supervises paralegals and legal secretary
Holds weekly workload review meetings with paralegals and secretary
Ensures that projects are progressing and that they are appropriately staffed
Skills
EDUCATION LEVEL REQUIRED
Bachelor's degree and Juris Doctor degree from highly respected schools, with strong academic credentials
EDUCATION LEVEL PREFERRED
LLM in taxation (with concentration in employee benefits)
Certifications: JD and admission to at least one state bar; CPA preferred
EXPERIENCE REQUIRED
Minimum of 6 years of employee benefits and executive compensation law experience in a large law firm and/or corporate law department
EXPERIENCE REQUIRED
Diverse benefits and executive compensation law experience (as opposed to focus in one area of benefits or executive compensation law); accounting/finance and securities law expertise would be beneficial; experience in The Coca-Cola Company system would be beneficial; prior business (non-legal) experience would be beneficial
