The Vice President, M&A is a key member of the McKesson M&A team working on transactions across the McKesson portfolio of businesses. In this role, the Vice President will lead the M&A transaction process through the closing of a transaction, working closely with leaders in the business units and corporate functions, to effectively and efficiently drive the acquisition or divestiture process. This individual would also work with the rest of the M&A team to identify and evaluate M&A opportunities. The role reports to the Senior Vice President, Corporate Strategy and Business Development for M&A.
Position Description:
Manages the M&A transaction process from identification of potential targets to close, leveraging prior M&A knowledge and experience. Deep understanding of operational, accounting, tax, legal, regulatory and human resource implications that a proposed transaction would have on McKesson.
Applies sound business judgment to routinely make recommendations on significant transaction terms with potentially large financial implications (i.e. indemnification provisions, working capital).
Demonstrated results of managing M&A transactions.
Coordinate with the Business Unit and Corporate FP&A to develop the five year operating and valuation models, including providing input on assumptions, levels of return and strategic value to McKesson.
Management and coordination of large and complex transaction teams, comprised of members from the business unit, corporate functions and external resources such as outside legal counsel, consulting and accounting teams. In this role, the Vice President will need to ensure that the teams understand the transaction process, help the team identify and understand key issues and risks in the transaction and drive the team to recommendations and decisions on deal points.
Responsible for negotiating the transaction terms, including the letter of intent and all transaction related documents, with appropriate input from the Business Unit and Corporate leadership teams
Prepare and deliver presentations to the Business Unit leadership teams and members of the Executive Committee throughout the transaction, including updates on the transaction, leading discussions and providing recommendations to resolve issues and presentations to the executive team requesting formal approval to proceed with the transaction
As a member of the M&A team, work with others on the team to continually improve M&A processes at McKesson


Qualifications

Minimum Requirements
10+ years business development experience

Critical Skills
10+ years working in mergers and acquisitions
Healthcare experience highly preferred
Combination between Investment Banking and Corporate M&A experience preferred
International and public company transaction experience preferred
Experience managing and working with third party advisors, including financial advisors, law firms, accounting firms and other consultants and advisors

Additional Skills
Sound business judgment – an ability to consider and balance risks and issues arising from various areas (accounting, legal, tax, compliance) and make sound business decisions
Emotional maturity – ability to remain calm and provide a balanced perspective even while dealing with very emotional situations and people
Able to build credible relationships so the individual is seen as a trusted, respected advisor
Strategic and analytical thinking, strong capability in problem solving skills
Ability to drive projects – in particular driving to resolution of issues and problems in a timely manner and getting executive buy in and support in a highly matrixed organization
Excellent communications skills and have the ability to develop rapport and credibility across the organization, promote ideas and proposals persuasively

Education
4-year Bachelor's degree in business or finance, or related field or equivalent experience
MBA or CPA preferred

Physical Requirements
General office demands. Occasional travel, around 25%.
